These Terms of Business (“Terms”) set out the agreement between Pipeline Architects Limited (“Pipeline Architects”, “we”, “us”, “our”) and the client (“you”, “your”) for the provision of consultancy and related services. By engaging us, you agree to these Terms.

2. Our services
We provide strategic, operational and executional consulting services as agreed in individual proposals, statements of work or retainers.
Each engagement will specify:
- Scope of services and deliverables
- Timelines and key milestones
- Fees, expenses and payment schedule
- Any special terms unique to the engagement
If there is any conflict between these Terms and a signed proposal or statement of work, the latter will take precedence.
3. Engagement and acceptance
An engagement begins when you confirm acceptance of a written proposal, sign an agreement, or provide written instruction to proceed.
Work will commence once we receive confirmation and, if required, an initial payment or deposit.
We reserve the right to decline any engagement at our discretion.
4. Fees and payment terms
Unless otherwise stated, all fees are quoted in pounds sterling (GBP) and exclude VAT, which will be charged at the prevailing rate.
Invoices are due within 14 days of issue unless otherwise agreed in writing.
Late payments may incur interest at 4% above the Bank of England base rate, plus reasonable recovery costs.

5. Client responsibilities
You agree to:
- Provide timely access to information, personnel and systems necessary for us to deliver our services
- Ensure that all information supplied is accurate and complete
- Review and approve deliverables within agreed timeframes
- Maintain all required licences, consents and permissions relevant to your own business
We are not responsible for delays or issues arising from your failure to meet these obligations.
6. Confidentiality
Both parties agree to treat all non-public information shared during the engagement as confidential and not to disclose it to any third party without written consent, except where required by law.
This obligation continues after the termination of the engagement.
7. Intellectual property
Unless otherwise agreed in writing:
- All pre-existing materials, tools, and frameworks created by Pipeline Architects remain our intellectual property.
- You are granted a non-exclusive, non-transferable licence to use deliverables created specifically for your project for your internal business purposes.
- You may not resell, distribute, or reproduce deliverables for third parties without prior written consent.
Any joint IP or bespoke development will be governed by separate written agreement.
8. Data protection
Both parties shall comply with applicable data protection legislation, including the UK GDPR and Data Protection Act 2018.
Pipeline Architects’ processing of personal data is governed by our Privacy Policy and GDPR Policy, available on our website.
9. Limitation of liability
We are not liable for any indirect, consequential or special loss including loss of profit, data, revenue or goodwill.
Our total liability to you for any claim arising from the engagement (whether in contract, tort, negligence or otherwise) shall not exceed the total fees paid by you for the relevant project or six months of retainer fees, whichever is greater.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability which cannot be limited under UK law.
10. Warranties and disclaimers
We will provide our services with reasonable skill and care.
We do not guarantee specific commercial outcomes or results.
All deliverables and advice are provided for your internal use and decision-making and should not be shared or relied upon by third parties without our written consent.
11. Duration and termination
Either party may terminate an engagement:
- By giving 30 days’ written notice; or
- Immediately if the other party commits a material breach and fails to remedy it within 14 days of notice.
Upon termination:
- You must pay for all work completed up to the termination date.
- All confidential information and property must be returned or destroyed.
- Any licences granted under these Terms will end unless otherwise agreed.
12. Force majeure
We are not responsible for any delay or failure in performance caused by events beyond our reasonable control, including acts of God, power failure, internet outage, industrial disputes, or changes in law.
13. Non-solicitation
You agree not to directly employ, engage, or solicit any Pipeline Architects employee or contractor involved in your project during the engagement or within 12 months after its completion without our written consent.
14. Publicity and case studies
We may reference your company name and logo in client listings or case studies, unless you request otherwise in writing.
We will not disclose confidential or commercially sensitive details without prior approval.
15. Governing law and jurisdiction
These Terms and any related disputes are governed by the laws of England and Wales.
Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
16. Entire agreement
These Terms, together with any written proposal or statement of work, constitute the entire agreement between you and Pipeline Architects and supersede all prior discussions or understandings.
17. Updates to these Terms
We may update these Terms from time to time to reflect legal or operational changes.
The latest version will always be available on our website and will apply to all new engagements from its publication date.
